Emerging Companies & Venture Capital - Junior Associate Attorney

Location: New York, NY

Are you a junior attorney with a passion for startups, innovation, and venture capital?

Our client, a prestigious AmLaw 50 firm, is seeking a driven Junior Associate Attorney to join its growing Emerging Companies & Venture Capital ( ECVC ) practice in New York . This is a prime opportunity to work with a nationally respected team advising high-growth companies and the funds that invest in them—from incorporation through exit.

Candidate Profile:

• JD from a top-tier law school with a strong academic record .

• Active Bar Admission in New York .

• 2+ years of substantive experience in corporate law , ideally with a focus on emerging companies or venture capital transactions .

• Experience advising clients on business formation , equity financings , M&A , and general corporate governance .

• Strong communication skills, both written and verbal, and an ability to manage client relationships effectively.

• Proficiency in Excel and comfort with cap tables, finance models, and quantitative deal work.

• Previous experience at an AmLaw 100 or similarly reputable law firm is highly preferred .

• Team-oriented mindset and strong work ethic with a client-first approach.

Key Responsibilities:

• Advise founders, startups, and emerging companies throughout all stages of growth.

• Support clients in venture financings, equity compensation, governance, and exit transactions.

• Work closely with venture capital firms on investments and portfolio company matters.

• Draft and negotiate term sheets, stock purchase agreements, and corporate governance documents.

• Collaborate with a national team of top-tier attorneys on fast-paced and high-impact matters.

Compensation & Benefits:

Compensation is competitive and commensurate with experience. Expected annual salary ranges from $235,000 to $390,000 , in addition to eligibility for a discretionary bonus .
